Profile:Asst. Company Secretary
Job Description:
This position will report into Company Secretary in theBank and will be responsible for compliances under Companies Act, SEBI Regulations, Banking Regulations Act, Stock Exchange &ROC Compliances etc.
Key responsibilities will include but are not limited to:

Management of all compliances under Companies Act, SEBI listing regulations, provisions of Banking Regulation Act relating to directors/shareholding, filing of forms with stock exchanges, Registrar of Companies (ROC), engaging with officials of stock exchange, ROC to resolve interpretational queries, implementation of regulations etc.

All activities connected with convening Board/Committee meetings, preparation, circulation of agenda, minutes, maintenance of statutory registers and records, obtaining disclosures from directors. Convening AGM and management of all activities connected with AGM such as preparation of annual report, notice, e-voting arrangements with depositories, disclosure to stock exchanges and other administrative tasks, follow up action from the meetings.

Implementation of secretarial practices, processes and policies to ensure that these are consistently followed.

Oversee policies, making sure they are kept up to date and referred to the appropriate committee for approval.

Monitor changes in relevant legislation and the regulatory environment and take appropriate action.

Liaise with external regulators and advisers, such as lawyers and auditors.

Coordination with the registrar, RBI, Stock Exchanges, SEBI and statutory authorities to ensure proper maintenance of the register of shareholders and obtain appropriate approvals as and when required.

Various FEMA compliances and regulations for FDI, ECB and funding guidelines etc.

Structuring of various policies relating to Insider Trading, ESOPs, etc.
Skills & Qualifications

Qualified Company Secretary with 8-10 years of experience, preferably in the banking industry

The candidate should have handled the team

Knowledge of SEBI Regulations on Capital Market/listing agreement, etc.

Excellent verbal and written communication skills.

Good Interpersonal skills and the ability to work well with people at all levels.

Attention to detail and a well-organized approach to work.

The ability to work well under pressure.
